Terms of Sale

1. Products offered by Celsus are for further manufacturing, processing or re-packaging only.
2. In addition to the price stated herein, Buyer shall pay or reimburse Celsus for all sales, use or excise taxes, assessments and other governmental charges attributable to manufacture, sale, use, shipment, transportation and delivery of products.
3. Celsus reserves the right to suspend or defer future deliveries, change the terms of sale or cancel the sale, if the financial responsibility of the Buyer becomes impaired or unsatisfactory to Seller.
4. Title and risk of loss of products sold hereunder shall pass to Buyer upon Celsus' delivery to carrier at point of shipment regardless whether Celsus pays all or any part of the freight.
5. Celsus shall not be liable in any respect for failure or delay in shipment of products, if hindered or prevented, directly or indirectly, by any cause beyond its reasonable control. The quantities so affected shall be deducted from the total quantity purchased by Buyer. Celsus may, during any period of shortage due to such a cause, allocate its available supply of products among itself and its customers on whatever basis it deems desirable.
6. There are no warranties of products beyond their conformance to their descriptions contained herein. Buyer must determine by preliminary tests or otherwise, the suitability of products for its purposes. Celsus makes no warranty or guaranty for the accuracy of any other statements made by it. Celsus makes no warranty that products are merchantable in any respect other than as expressly set forth herein, or that products are fit for any particular purpose. There are no warranties, express or implied, except as is expressly provided herein.
7. Celsus does not warrant that the use of products or any article made therefrom either alone or in combination with other materials will not infringe a patent.
8. Celsus shall not be liable for incidental or consequential damages regardless of negligence. Buyer assumes full responsibility for and shall hold Celsus harmless from all liability arising out of unloading, discharging, storage, handling and use of any products or containers after delivery to Buyer. Celsus' liability and Buyer's exclusive remedy for any cause of action arising out of the sale, use or non-delivery of products is expressly limited to Buyer's option to replacement of nonconforming products. Buyer shall inspect products immediately upon delivery. Buyer's failure to give notice of any claim within thirty (30) days from date of delivery shall constitute a waiver by Buyer with respect thereto.
9. No modification of or addition to the above terms and conditions shall be effected by the acknowledgement or acceptance by Celsus of a Purchase Order, Acknowledgment, Release or other forms submitted by Buyer containing other or different terms or conditions. Neither party shall claim any modification, amendment or release from any of the above terms and conditions unless the parties have entered into a mutual agreement to that effect, signed by the Buyer and the President of Celsus. No other representative of Celsus is authorized to change any of the above terms and conditions which relate to all products sold or delivered as samples or otherwise.
